SOAMfactor Wholesale Terms & Agreement

Effective Date: March 3, 2026

SOAMfactor LLC (“Supplier,” “we,” or “us”) provides products and services exclusively to registered business clients (“Wholesale Buyer,” “you,” or “your”). By creating a wholesale account, placing an order, or purchasing from our Site [Insert Website URL], you agree to the following Wholesale Agreement.

 

Eligibility

  • Wholesale accounts are available only to registered businesses.
  • You must be authorized to enter into agreements on behalf of your company.
  • Individuals purchasing for personal use are not eligible.

 

Account Approval

All wholesale accounts are subject to review and approval by SOAMfactor LLC. Approval may require:

  • Business license or registration
  • Tax ID number
  • Resale certificate (if applicable)

Access to wholesale pricing or checkout is granted only after approval.

 

Pricing & Payment Terms

Prices displayed for wholesale accounts are exclusive of taxes, duties, and shipping fees unless stated otherwise.

Late payments may incur:

  • Interest charges
  • Suspension of future orders

Prices are subject to change without notice.

 

Minimum Orders & Bulk Orders

  • Certain products may require minimum order quantities (MOQ).
  • Bulk order discounts, if applicable, will be applied at checkout or in written quotes.
  • Orders that do not meet minimums may be refused or adjusted.

 

Resale Policy & MAP

Wholesale buyers must comply with SOAMfactor LLC’s Resale Policy.

Minimum Advertised Price (MAP) or suggested retail pricing guidelines must be adhered to. Unauthorized sales, below-MAP pricing, or sales on restricted channels may result in:

  • Account suspension or termination
  • Refusal of future orders

 

Shipping & Delivery

  • Shipping is at the buyer’s expense, calculated at checkout.
  • Risk of loss passes to the buyer upon delivery to the carrier.
  • Estimated delivery dates are not guaranteed.

 

Returns & Refunds

  • Wholesale orders are generally non-refundable.
  • Returns are accepted only for defective or damaged items, as per our B2B Refund Policy.
  • All returns must be pre-approved in writing by SOAMfactor LLC.

 

Intellectual Property & Branding

  • Buyer must not alter, misrepresent, or remove Supplier branding.
  • Unauthorized use of logos, product images, or marketing materials is prohibited.
  • Marketing must comply with Supplier guidelines and may require prior approval.

 

Confidentiality

All business, pricing, and order information is confidential. Buyer may not disclose confidential information to third parties without written consent.

 

Termination

Supplier may terminate or suspend wholesale accounts for:

  • Non-payment
  • Violation of this agreement, Resale Policy, or MAP guidelines
  • Fraudulent or illegal activity

Upon termination, outstanding balances remain payable.

 

Governing Law & Dispute Resolution

This agreement is governed by the laws of Illinois. Disputes should first be resolved through good-faith negotiation. Unresolved disputes may be submitted to arbitration or courts in Illinois.

 

Acceptance / Acknowledgment

By creating a wholesale account or placing an order, you are stating the following:

I confirm that I am a registered business authorized to enter into this agreement, and I have read and agree to SOAMfactor's Wholesale Agreement, Resale Policy, Terms & Conditions, Refund Policy, and Shipping Policy.

Agreement to this statement is mandatory for account approval or checkout.
